Japan’s Toray has agreed with the Dutch Leica to acquire the latter subsidiary, Ten Cate Advanced Composites Holding BV (TCAC), which will be priced at 930 million euros (about 7.263 billion yuan). The acquisition of all shares of TCAC will be the largest acquisition in the history of Toray.

According to the report, the two sides decided that, according to Dutch law, a formal equity purchase agreement will be signed immediately after the completion of the conversation with the Dutch labor committee, and the formal implementation of the agreement will be subject to the approval of the relevant authorities in the Netherlands. In addition, Toray is committed to fully supporting the business strategy and investment plans of TCAC management to drive its business growth.

TCAC is a subsidiary of Leica, a company specializing in the production of carbon fiber composites. It is a world-renowned manufacturer of carbon fiber prepreg tapes. It has factories in Europe and the United States and has long been engaged in thermoplastic prepreg and high temperature thermosetting resins. Product development, especially in the field of thermoplastic carbon fiber intermediate products, is a world leader.

According to Dongli's forecast, the agreement for the acquisition will be formally signed in March 2018, and the content of the agreement will be formally reached in the second half of 2018.

Carbon fiber is called "the king of new materials" and has excellent physical and chemical properties. It has an irreplaceable position in the military industry such as aerospace. In recent years, Toray has also been engaged in aerospace applications, and has carried out a large number of acquisition activities in the field of carbon fiber composite materials.

It is said that once the acquisition is completed, there will be a huge synergy, and the technological advantages that Leica will focus on and the advantages of Toray in carbon fiber and other polymer products will be strong. At the same time, the acquisition will also integrate the sales channels of both parties to provide customers with more comprehensive and reliable product and technical support. Benefiting from this, Toray can respond more quickly and flexibly to the growing demand for carbon fiber composites in many areas such as small passenger aircraft and automobiles.

Toray's expansion of the carbon fiber business is very frequent. Earlier this month, Toray and France Safran jointly announced that they have signed an implementation agreement for the supply of carbon fiber composite materials for the development of next-generation high-performance aero engines while meeting the growing market demand for carbon fiber in the aviation industry. .

Safran is an international high-tech group company specializing in aerospace propulsion systems, aerospace equipment, aerospace equipment and defense equipment markets.

Yasuo Suga, Vice President of Toray Group and Minister of Carbon Fiber and Composites Division, signed the implementation agreement, saying that Toray and Safran Group are pursuing technological innovation and pursuing high value-added solutions for their customers. Highly consistent. In the future, cooperation between the two sides will be further deepened.
